End User License
Agreement
This agreement governs your access to and use of courses, cohorts, membership tiers, and digital content offered through ComposeProduceMusic.
1. Acceptance of Terms
By creating an account, enrolling in a course or cohort, purchasing a membership, or otherwise accessing any content on composeproducemusic.com (“the Site”), you (“User”) agree to be bound by this End User License Agreement (“Agreement”) between you and Dr. William E. Smith / ComposeProduceMusic (“we,” “us,” or “our”).
If you do not agree to these terms, you may not access or use the Site or any of its content. We reserve the right to update this Agreement at any time; continued use of the Site after changes are posted constitutes acceptance of the updated terms.
You must be at least 18 years of age, or the age of majority in your jurisdiction, to enter into this Agreement. If you are enrolling on behalf of an institution, you represent that you have authority to bind that institution to these terms.
2. License Grant
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the content you have purchased or subscribed to solely for your personal, non-commercial educational purposes.
This license covers:
- Self-paced email course content delivered to the email address associated with your account
- Live cohort session recordings made available in your account library
- Membership-tier content available during the period of your active subscription
- Downloadable reference materials distributed as part of a course or cohort
- Certificate of Completion documents issued upon passing an online exam
This license does not transfer any ownership interest in the content to you. All rights not expressly granted are reserved.
3. Restrictions
You agree that you will not, under any circumstances:
- Share, resell, sublicense, or transfer your account credentials or purchased content to any third party
- Reproduce, copy, screen-record, or distribute course materials, lesson emails, session recordings, or any other content from the Site
- Use course content to create derivative works, competing courses, or training materials without prior written consent
- Upload, post, or share course content on any platform, social media channel, file-sharing service, or community forum
- Remove, alter, or obscure any copyright, trademark, or proprietary notices contained in the content
- Use automated tools, bots, scrapers, or data mining techniques to access or collect content from the Site
- Represent yourself as affiliated with or endorsed by ComposeProduceMusic without written authorization
Violation of these restrictions may result in immediate termination of your access and may expose you to legal liability.
4. Courses & Cohorts
Self-Paced Courses
Self-paced courses are delivered via email on a weekly schedule following enrollment. Lessons are sent to the email address you provide at checkout. It is your responsibility to ensure your email address is accurate and that course emails are not filtered as spam.
Upon completing all lessons, you may access and complete the online exam on the Site. A Certificate of Completion is issued upon passing. Certificates may be used for personal professional development documentation.
Live Cohorts
Cohorts are structured 6-week live programs with a maximum of 25 participants. Enrollment is first-come, first-served. Each cohort includes:
- Core Tier (97): All 6 weekly lesson modules, all 4 live Saturday Zoom sessions, all session recordings, private cohort Discord access, and Certificate of Completion.
- Coaching Tier (97): Everything in Core, plus personal written feedback from Dr. Smith on your submitted work, and priority Discord access.
Live session dates and Zoom links are provided by email following enrollment. Recordings are made available within 48 hours of each session.
Certificates
Certificates of Completion are issued in the name provided at registration. We do not alter or reissue certificates for errors resulting from incorrect information provided at enrollment.
5. Membership Tiers
A free account registration is required before upgrading to any paid tier.
- Free Account: Access to free blog content, course update emails, and cohort announcements. No credit card required.
- The Listener (/mo): Free account benefits plus community feed and Discord access.
- The Composer (9/mo): Listener benefits plus monthly genre analysis, workshop library, sync brief breakdowns, and 0 off cohort enrollment.
- The Sync Pro (9/mo, 10 spots): Composer benefits plus monthly personal async check-in with Dr. Smith, monthly YouTube Live session, and private Sync Pro Discord room.
Paid memberships are billed monthly on a recurring basis. You may cancel at any time; cancellation takes effect at the end of the current billing period. Courses and cohorts are sold separately.
6. Payments & Refunds
Payments
All transactions are processed securely through our payment processor. All prices are listed in US Dollars.
Refund Policy
- Self-paced courses: Refunds available within 7 days of purchase if no more than the first lesson email has been delivered.
- Cohorts: Refunds available up to 72 hours before the cohort start date. No refunds after the cohort has begun.
- Monthly membership: Monthly fees are non-refundable. Cancel before your next billing date to avoid future charges.
Approved refunds are processed within 5–10 business days. Contact admin@composeproducemusic.com to request a refund.
7. Intellectual Property
All content on composeproducemusic.com — including course lesson text, audio examples, video recordings, downloadable materials, website design, and the ComposeProduceMusic brand — is the exclusive intellectual property of Dr. William E. Smith, protected by applicable copyright, trademark, and intellectual property laws.
Your purchase grants you a personal license to access content as described in Section 2. It does not grant ownership rights or authorize reproduction, distribution, or commercial use.
8. Disclaimer of Warranties
The Site and all content are provided “as is” and “as available” without warranties of any kind. We do not warrant that the Site will be uninterrupted or error-free, or that any specific outcome — including sync licensing placements or income — will result from using our content. Educational content is provided for informational and instructional purposes only.
9. Limitation of Liability
To the fullest extent permitted by law, Dr. William E. Smith and ComposeProduceMusic shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
10. Termination
We reserve the right to suspend or terminate your account at any time, without notice, if you have violated this Agreement or engaged in conduct harmful to other users or to us. Upon termination, your license to access content is immediately revoked. Provisions that by their nature should survive termination — including IP rights, disclaimers, and liability limits — will continue to apply.
11. Governing Law
This Agreement is governed by the laws of the State of Maryland, United States, without regard to conflict of law provisions. Any dispute shall be subject to the exclusive jurisdiction of the state and federal courts located in Prince George’s County, Maryland. If any provision is found unenforceable, the remaining provisions remain in full force.
